Neurico Consumer Terms of Service

These Consumer Terms of Service ("Terms") govern your personal access to and use of Neurico websites, accounts, subscriptions, inference endpoints, APIs, dashboards, documentation, and related services (collectively, the "Service").

The Service is offered by APIKO TEKNOLOJİ YAZILIM VE DANIŞMANLIK LİMİTED ŞİRKETİ, with registered address at Maslak Mah. AOS 55. Sk. 42 Maslak B Blok No: 4 İç Kapı No: 542, Sarıyer, İstanbul, Türkiye, MERSIS number 0071102557300001, and tax identification number 0711025573 ("Neurico", "we", "us", or "our").

These Terms are written for consumers who use the Service for personal purposes. By accepting them, you confirm that you are at least 18 years old and legally able to enter into a contract. If you do not agree, do not use the Service.

1. Your account

You must provide accurate and current account, contact, residence, and billing information. You are responsible for keeping your email session, API keys, and other credentials secure and for activity performed through them.

Contact hello@neurico.ai promptly if you believe that an account or credential has been compromised. You may not create an account or use the Service where applicable law, sanctions, export controls, a model provider's restrictions, or a prior suspension prohibits it.

2. The Service

Neurico provides an inference gateway that can receive compatible AI requests, route them to an eligible third-party model provider, apply availability and security controls, and show usage, cost, latency, and routing records.

The features, usage allowances, provider-cost treatment, billing period, price, and other plan conditions shown in the pricing page, order summary, and checkout form part of your subscription. Evaluation access may have time, request, token, model, or cost limits disclosed before use.

The Service is a technical tool. It does not replace legal, medical, financial, safety, employment, or other professional judgment.

3. Model providers and automatic routing

A "Model Provider" is a third party that processes a request to provide model inference or a related capability. You authorize Neurico to send the content needed to complete your request to eligible Model Providers.

Model availability, prices, context limits, features, and provider terms can change. Neurico may replace, disable, retry, or reroute a model when reasonably necessary for availability, safety, legal compliance, provider requirements, or cost and quality optimization.

Model Providers may have their own acceptable-use, privacy, retention, training, output, and territorial terms. Those terms may also apply to your use of a model.

4. Your content

"User Content" means prompts, messages, files, instructions, tool inputs, retrieval context, and other information you submit, together with model responses returned to you.

You retain your rights in User Content. Output rights may also depend on the relevant Model Provider's terms. You give Neurico a limited, non-exclusive license to host, copy, transmit, format, and process User Content only as needed to:

• provide, route, secure, troubleshoot, and support the Service;
• apply your supported settings and instructions;
• prevent fraud, abuse, and security incidents;
• comply with law; and
• enforce these Terms.

This license does not allow Neurico to sell User Content or use it to train a general-purpose model. You must have the rights and permissions needed to submit User Content, including personal information about another person.

5. Retention and provider practices

Neurico records request metadata needed for routing, metering, billing, security, support, and auditability. This can include token counts, selected model, provider cost, timestamps, latency, status, and technical identifiers.

Neurico stores prompt or response content only when an available retention feature is enabled, temporary storage is needed for a supported operation, storage is reasonably needed for security or support, or law requires it. The applicable retention setting is shown in the Service.

Model Providers have separate retention, logging, and training practices. A provider's zero-retention or no-training status is guaranteed only when the Service expressly supports and applies that restriction.

6. Acceptable use

You may not use or attempt to use the Service to:

• violate law, sanctions, export controls, or applicable Model Provider terms;
• infringe intellectual-property, privacy, confidentiality, publicity, or other rights;
• submit information you are not authorized to process;
• create malware, facilitate fraud, exploit people, or conduct harmful activity;
• bypass usage, geographic, safety, model, provider, or payment restrictions;
• disrupt, overload, reverse engineer, or obtain unauthorized access to the Service, except where law expressly permits the activity;
• share, resell, or sublicense access unless Neurico expressly allows it; or
• use model outputs without appropriate review in a prohibited or unreasonably dangerous way.

Neurico may investigate suspected misuse and temporarily restrict affected requests, models, keys, endpoints, or accounts.

7. Plans, prices, and provider costs

Before purchase, checkout shows the selected plan, billing period, subscription fee, included usage, provider-cost treatment, discount, taxes where available, and total due.

Unless checkout states otherwise:

• the subscription fee pays for platform access and the included service level;
• provider costs are included or charged separately only when this is clearly disclosed before purchase;
• paid subscriptions renew for the same billing period until canceled; and
• you authorize recurring collection from the payment method used at checkout.

Neurico does not store full card details. Card information is processed by the payment service used at checkout.

We will give advance notice of a material price change where required. The new price will not apply before the notified effective date. You can cancel before a renewal to avoid the next charge.

8. Trials and promotions

A trial or promotion may have separate eligibility, duration, price, quota, or redemption limits shown before activation. Unless stated otherwise, one person may use a promotion only once.

If a trial converts to a paid subscription, the conversion date and price are shown before you provide payment authorization. You can cancel before the conversion date to avoid the charge, subject to the conditions shown at checkout.

9. Cancellation, withdrawal, and refunds

You can cancel a subscription from the account area or by contacting hello@neurico.ai. Cancellation stops the next renewal and normally takes effect at the end of the paid period unless checkout or mandatory law provides an earlier result.

Any statutory consumer withdrawal, refund, chargeback, or cancellation right that cannot lawfully be limited remains unaffected. For consumers in Türkiye, the Pre-Information Form and Distance Sales and Subscription Agreement presented before payment explain the applicable withdrawal procedure and any lawful exception for a service or digital content that begins immediately at your express request.

Refunds outside a mandatory right are available only where the plan or promotion expressly promises one or Neurico agrees to a service remedy.

10. Service availability and changes

The Service depends on networks, cloud platforms, payment services, and Model Providers. It may occasionally be unavailable or delayed.

Neurico may make reasonable changes to providers, models, features, limits, security controls, and interfaces. If a change materially reduces a paid subscription, we will provide notice or an appropriate remedy where required by law.

11. Suspension and termination

You may stop using the Service at any time and may cancel as described above.

Neurico may suspend or terminate access when reasonably necessary because of material breach, non-payment, a security risk, unlawful use, Model Provider restrictions, sanctions or other legal requirements, risk to other users, or discontinuation of the Service.

Where reasonable and legally permitted, Neurico will explain the restriction and allow an opportunity to resolve it. Immediate restriction may be necessary for security, provider, or legal reasons.

12. AI and service limitations

Model outputs may be inaccurate, incomplete, offensive, outdated, non-unique, or unsuitable for your purpose. You are responsible for reviewing outputs before relying on or sharing them.

To the extent permitted by consumer law, Neurico does not promise uninterrupted access to a particular model or that a Model Provider will never change its service or data practices. Nothing in these Terms excludes a statutory guarantee, remedy, or right that cannot lawfully be excluded.

13. Liability

Neurico is responsible for loss caused by its breach of these Terms where that loss was reasonably foreseeable when the contract was made. Neurico is not responsible for loss caused by your misuse, unauthorized access resulting from your failure to protect credentials, or events outside Neurico's reasonable control.

Nothing in these Terms limits liability for fraud, willful misconduct, personal injury caused by negligence, or another liability that cannot lawfully be limited. Any limitation is applied only to the extent permitted by the mandatory consumer law of your country of residence.

14. Governing law and consumer disputes

These Terms are governed by the laws of the Republic of Türkiye. This choice does not remove mandatory consumer protections available under the law of your country of residence.

Consumers in Türkiye may apply to the competent Consumer Arbitration Committee or Consumer Court, subject to the applicable monetary and procedural rules. Consumers outside Türkiye may also use any mandatory local forum or dispute mechanism available to them.

Before starting a claim, you may contact hello@neurico.ai so we can try to resolve the issue promptly. This does not suspend or waive a statutory deadline.

15. Changes and electronic notices

We may update these Terms for legal, security, provider, or Service reasons. We will provide advance email or in-product notice of a material change where required and will request renewed acceptance when necessary.

Contractual and Service notices may be delivered electronically to the email address linked to your account. Keep that address current.

16. General

These Terms, the selected plan and checkout details, the applicable privacy notice, and documents expressly incorporated by reference form the agreement between you and Neurico. If a provision is unenforceable, it will be limited only as much as necessary and the remaining provisions will continue.

Failure to enforce a provision is not a waiver. You may not transfer your subscription without Neurico's consent. Neurico may transfer the agreement as part of a merger, reorganization, financing, or sale, provided that your mandatory consumer rights remain unaffected.
